Terms of service

1. Acceptance and scope

These Terms of Service ("Terms") govern your use of the OX3 Corporation website at ox3.com (the "Site") and any purchases of products or services from OX3 Corporation ("OX3," "we," "us," or "our"). By placing an order through the Site, by phone, or by purchase order, you ("Buyer") agree to these Terms. OX3 expressly limits acceptance to the prices, conditions, and terms set forth in these Terms and on the applicable order acknowledgement or invoice. Any terms or conditions of purchase proposed by Buyer that differ from or add to these Terms are rejected unless specifically accepted in writing by an authorized OX3 representative.

2. Cancellation prior to shipment

OX3 may, on a discretionary case-by-case basis, charge Buyer cancellation charges for orders that are cancelled prior to shipment. Cancellation of custom-manufactured or made-to-order items may not be possible once production has begun. Buyer should contact their OX3 customer service representative at Sales@ox3.com to determine the effect of an order cancellation.

3. Performance and substitution

Unless otherwise agreed to in writing, OX3 reserves the right to make design changes that OX3 believes will improve its products. OX3 may also satisfy customer purchase orders by shipping 90%–100% of ordered quantities for non-standard products when shipping lesser quantities provides OX3 operational efficiencies. OX3 shall only charge Buyer for actual quantities shipped. OX3's performance shall be excused in the event of strikes, accidents, fires, unavailability of materials, supply-chain disruptions, governmental orders, pandemics, and all other causes beyond the reasonable control of OX3.

4. Claims, returns, and refunds

Claims for shortages, damage, or inaccurate filling of orders must be made to OX3 within thirty (30) days after receipt of goods. All returns must have an accompanying Return Material Authorization (RMA) number issued by OX3. 5. Tool ownership

All tools, dies, molds, masters, and patterns produced by or at the request of OX3 shall remain the exclusive property of OX3. OX3 reserves the right to advertise and/or sell any of the foregoing items and any of its products unless otherwise agreed to in writing by OX3.

6. Limited warranty

OX3 warrants each of its new products against defects in materials and workmanship for ninety (90) days from the date of shipment. OX3 makes no warranty, express or implied, with respect to any components, products, or services provided by any third party. With respect to products specially manufactured to Buyer's specifications, OX3 warrants only that such products have been manufactured, without testing, to Buyer's specifications but makes no other warranty, express or implied. Upon OX3's confirmation of defects, OX3 agrees, as Buyer's EXCLUSIVE REMEDY, to repair or, in its discretion, replace defective product without charge, or refund the purchase price of the defective product. OX3 reserves the right to sub-contract overflow work or specialty services to its approved suppliers. OX3 is not responsible for product damage resulting from accident, misuse, mishandling, or lack of reasonable care after delivery.

7. Disclaimer and limitation of liability

NO OTHER WARRANTY, WRITTEN OR VERBAL, IS AUTHORIZED BY OX3. OX3 IS NOT LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING LOST PROFITS, LOST PRODUCTION, OR DOWNTIME, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE ARE SPECIFICALLY DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. OX3'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE PURCHASE OF PRODUCTS OR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY BUYER FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

8. Payment terms and credit

Standard payment terms for approved business customers are Net-30 days from the date of invoice. New customers automatically receive $1,000 open credit on their first order with no application required; larger credit lines are available upon application. See /pages/trade-account for details. OX3 reserves the right to require prepayment or alternative payment terms at its discretion. Past-due amounts are subject to a service charge of 1.5% per month or the maximum permitted by applicable law, whichever is lower.

9. Taxes and tax-exempt status

Prices do not include applicable sales, use, excise, or other taxes, which are the responsibility of Buyer. Tax-exempt customers must submit a valid tax-exemption certificate via /pages/trade-account or by emailing Sales@ox3.com before placing the first order; once verified, qualifying orders will be processed tax-free.

10. Governing law and disputes

These Terms and any dispute arising out of or relating to the purchase of products or services from OX3 shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Boston, Massachusetts for any such dispute. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

11. Site use

The Site and its content (including product descriptions, photographs, technical drawings, logos, and trademarks) are owned by OX3 or its licensors and are protected by U.S. and international intellectual property laws. You may use the Site for lawful purposes and to facilitate legitimate purchase activity. You may not scrape, crawl, mirror, or systematically copy content; reverse-engineer the Site; or use the Site to transmit any unlawful or harmful content.

12. Privacy

Use of the Site is also governed by our Privacy Policy at /policies/privacy-policy, which describes how we collect, use, and share information about you.

13. Changes to these Terms

OX3 may update these Terms from time to time. The current version will always be posted at /policies/terms-of-service with the effective date shown above. Material changes will be communicated by notice on the Site or by email to active customers. Continued use of the Site or placement of new orders after changes take effect constitutes acceptance of the updated Terms.
